A securities fraud class action has been launched against Cogent Communications Holdings, Inc. and its senior executives following a series of sharp stock declines. The lawsuit, filed in the U.S. District Court for the District of Columbia, alleges the company misled investors regarding customer demand for its wavelength services.

The complaint, City of Southfield Fire and Police Retirement System v. Cogent Communications Holdings, Inc., asserts that management overstated the viability of its wavelength business backlog while reassuring shareholders about dividend stability. Plaintiffs claim these representations were inaccurate, as many customers were not prepared to accept product delivery, rendering the backlog unlikely to convert into realized revenue.

Investors witnessed significant volatility tied to these disclosures, starting with a 10% drop on February 27, 2025, and culminating in a 56% collapse in November 2025 after the company slashed its quarterly dividend by 98%. Additional performance issues reported in May 2026 triggered a further 29% decline in share price. The law firm Bleichmar Fonti & Auld LLP is representing the class, with a lead plaintiff deadline set for September 21, 2026.
