The complaint, filed in the U.S. District Court for the Western District of Washington, contends that Microsoft obscured significant functionality issues within its generative AI tools. While the company previously touted Copilot as a primary engine for Azure’s growth, the litigation claims that technical flaws and poor user adoption were hidden from shareholders. The discrepancy came to light on January 28, 2026, when the company reported that its premium Copilot customer base stood at just 15 million—a figure that fell well short of analyst expectations.

Following the disclosure, Microsoft shares dropped $48.13, falling from $481.63 to $433.50 in a single day. Reports in The Wall Street Journal later corroborated these concerns, citing interoperability failures and confusing branding that hampered the product's market position. The City of St. Clair Shores Police and Fire Retirement System is acting as a lead plaintiff in the case, which asserts violations of the Securities Exchange Act of 1934. Investors seeking to participate in the class action have until August 11, 2026, to petition the court for a leadership role.
