Jazz Pharmaceuticals to Acquire Actio Biosciences for $820 Million
Jazz Pharmaceuticals is set to acquire Actio Biosciences in a deal valued at $820 million upfront, aiming to secure a foothold in the treatment of KCNT1-related epilepsy. The acquisition centers on ABS-1230, a clinical-stage precision therapy targeting a rare genetic condition for which no FDA-approved treatments currently exist.
KCNT1-related epilepsy is a severe, often fatal condition affecting roughly 2,500 patients in the United States. Many children diagnosed with the disease face daily, treatment-resistant seizures that hinder basic developmental milestones like walking or speaking. The ongoing Phase 1b/2a KYRON trial for ABS-1230 is intended to serve as the registrational study for future U.S. regulatory filings. As part of the transaction, Actio Biosciences will spin out a separate entity to focus on other genetic neurological programs, including a TRPV4 inhibitor for Charcot-Marie-Tooth disease. The acquisition, approved by the boards of both companies, is expected to close by the fourth quarter of 2026.
