Strive Director Pierre Rochard Acquires $200K in Common Stock

Strive director Pierre Rochard purchased 15,900 shares of the company’s common stock for roughly $199,386 on August 14, marking his first direct acquisition of the equity. The transaction occurred as Strive’s preferred Series A stock neared its $100 par value, potentially signaling renewed flexibility for the firm's Bitcoin treasury strategy.

The purchase, disclosed in an SEC Form 4 filing, saw Rochard acquire the Class A shares at an average price of $12.54. Unlike trades conducted under pre-arranged Rule 10b5-1 plans, this open-market acquisition was executed independently. While the filing did not specify the director's intent, the move brings added visibility to Strive at a time when the firm is actively managing its capital structure to support ongoing Bitcoin accumulation.

Strive’s financial strategy relies on balancing common stock issuance with the sale of its Series A perpetual preferred stock. The latter recently climbed toward its $100 par value, a key threshold that allows the company to raise capital more efficiently without diluting its dividend obligations. Strive currently holds 20,246 BTC, following a recent $5 million purchase of 79 coins, and maintains plans to expand its fundraising capacity by up to $4.2 billion through at-the-market programs for both ASST and SATA securities.
