LivePerson Delays Merger Vote as Quorum Threshold Remains Unmet

LivePerson convened its special meeting of stockholders on August 20, 2026, only to immediately adjourn the proceedings until September 2. Despite securing support from over 97% of votes cast to date, the company failed to reach the required majority of all outstanding shares necessary to finalize its merger with SoundHound AI.

The meeting will resume virtually on September 2 at 10:00 a.m. Eastern Time. Company leadership remains just a few percentage points shy of the necessary quorum, prompting a renewed push for shareholders who have not yet participated to cast their ballots.

Existing proxies remain valid, meaning shareholders who have already voted do not need to take further action. Those who have yet to participate can vote via proxy card, online, or by phone. The company has directed stockholders to VoteLivePerson.com for materials or to contact MacKenzie Partners for assistance. For investors holding shares on the Tel Aviv Stock Exchange, specific documentation and ownership certificates must be submitted to the company’s Israeli counsel to ensure their votes are counted.
