Pentair Faces Expanded Class Action Over Alleged Revenue Inflation

Investors who held Pentair plc stock between March 11, 2025, and July 14, 2026, face an October 2 deadline to join a class action lawsuit. Hagens Berman Sobol Shapiro LLP expanded the litigation, alleging the company misled shareholders about inventory levels and internal financial controls before a sharp stock decline.

The lawsuit contends that Pentair and its executives artificially inflated financial metrics through aggressive channel-loading practices. According to the complaint, the company failed to disclose severe destocking issues within its core Pool segment, rendering previous financial guidance and operating income projections baseless. This period of alleged misrepresentation ended abruptly on July 14, 2026, when the firm pre-announced second-quarter results that fell well short of market expectations.

Pentair reported an expected revenue of roughly $930 million, a significant shortfall against the $1.14 billion forecast. Inventory destocking alone accounted for a $170 million hit to Pool segment sales. Alongside the financial miss and a downward revision of full-year growth projections, the company announced the immediate departure of CFO Nicholas Brazis. The market responded to these disclosures on July 15, 2026, with the stock price dropping 15% to close at $64.33. Reed Kathrein, a partner at Hagens Berman, noted that the firm is scrutinizing the timing of these disclosures and the sudden resignation of the CFO in relation to the company's internal reporting standards.
