Evernorth Clears SEC Hurdle for Nasdaq Listing

The U.S. Securities and Exchange Commission has approved the registration statement for Evernorth Holdings, clearing the path for the digital asset treasury to finalize its merger with Armada Acquisition Corp. II. Shareholders are scheduled to vote on the transaction on September 30, 2026, ahead of a planned public debut.

Evernorth, which focuses on institutional-scale access to the XRP economy, aims to trade on the Nasdaq under the ticker "XRPN" following the successful close of the business combination. CEO Asheesh Birla stated that the milestone reflects a push toward bringing public-market governance and transparency to digital asset management. Unlike earlier firms that centered on simple token holding, Evernorth intends to actively manage its treasury by deploying capital into on-chain infrastructure and yield-generating strategies.

The venture is backed by a coalition of institutional players, including Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken, and GSR. The company positions itself as a capital source for the growing ecosystem of tokenized assets and on-chain credit markets. If shareholders approve the merger, the deal is expected to close in late Q3 or early Q4 2026, marking a shift in how institutional investors gain regulated exposure to blockchain-based assets.
