Evernorth sets September 30 vote for Nasdaq-listed XRP treasury merger

Shareholders of Armada Acquisition Corp. II will decide the fate of a proposed merger with Evernorth Holdings on September 30. The U.S. Securities and Exchange Commission recently cleared the path for this vote by declaring the company’s registration statement effective, moving the firm closer to a potential Nasdaq debut under the ticker XRPN.

The regulatory milestone allows Armada to distribute proxy materials to investors who held shares as of August 20. While the SEC has authorized the solicitation process, officials clarified that this action does not constitute an endorsement of the merger’s business model or the viability of XRP as an investment vehicle. Investors who choose to redeem their shares must submit formal requests by September 28, two days before the virtual special meeting.

Evernorth intends to manage an active treasury, deploying capital into lending, liquidity, and infrastructure across on-chain markets. The company aims to increase the amount of XRP held per share, though management acknowledges that these strategies introduce risks involving smart contracts, custody, and counterparty stability. The deal has secured interest from major industry players, including Ripple, SBI Group, and Pantera Capital, with projected gross proceeds exceeding $1 billion.

Success remains contingent on shareholder approval, the satisfaction of closing conditions, and Nasdaq’s final acceptance of the listing. The financial structure of the combined entity involves complex considerations, including executive compensation packages and the potential dilution of shares through warrants and private placements. If voters reject the proposal or if closing conditions fail to materialize, the anticipated transition will be delayed or abandoned.
