Trilogy Metals Secures $35.6 Million Investment from U.S. War Department

The U.S. Department of War has finalized a $35.6 million strategic equity investment in Trilogy Metals to accelerate mineral exploration in Alaska. This move, aimed at securing domestic supplies of critical resources, grants the government a 10% stake in the company and oversight roles in the Upper Kobuk Mineral Projects.

The deal involves a two-pronged capital injection. The Department of War will invest $17.8 million directly into Trilogy Metals in exchange for over 8.2 million units, while simultaneously paying an equal amount to South32—Trilogy’s 50/50 joint venture partner—for a similar number of shares. These funds are earmarked for the development of the Upper Kobuk Mineral Projects, a vast copper-rich district in northwestern Alaska.

Beyond the cash infusion, the agreement installs a Department of War-appointed director on the Trilogy Metals board and mandates strict oversight of corporate debt. The partnership also provides the government with veto rights concerning certain assets to prevent foreign control of the mining district. Trilogy expects the transaction to close in September 2026, contingent on standard closing conditions. This investment serves as a cornerstone for the proposed 211-mile Ambler Access Project, an industrial road critical to unlocking the region's mineral potential. Both Trilogy and the Department of War framed the agreement as a vital step in reducing American reliance on foreign supply chains for essential industrial materials.
