OpenPayd Secures U.S. Foothold Through MSB USA Acquisition

London-based financial infrastructure provider OpenPayd has integrated MSB USA, securing 43 state money transmitter licenses to broaden its reach across the American payments market. The move arrives as the company prepares for a planned merger with Titan Acquisition Corp and a potential listing on the Nasdaq exchange.

The integration provides a regulated pathway for OpenPayd to support global business clients navigating U.S. payment corridors. While MSB USA holds registrations with the Financial Crimes Enforcement Network, the firm remains a nonbank entity and does not accept deposits. Operations will continue under existing leadership as the company works to fold these capabilities into its broader API-driven platform, which currently serves over 1,200 clients including Kraken and eToro.

This expansion aligns with OpenPayd’s financial growth metrics, reporting annual recurring revenue exceeding $96 million and an annualized transaction volume surpassing $300 billion. These figures precede the proposed combination with Titan, a deal that values the company at up to $1.145 billion and is slated for completion in the fourth quarter of 2026. The path to a Nasdaq debut remains subject to standard closing conditions, including shareholder approval and minimum cash requirements, as the company seeks to scale its presence in one of the world’s most complex regulatory environments.
