The scrutiny follows the company’s August 18, 2026, announcement of second-quarter financial results. Klarna revised its full-year 2026 revenue forecast downward to a range of $4.08 billion to $4.16 billion, a significant drop from the previously stated target of over $4.34 billion. Alongside the lowered outlook, the firm confirmed that both its Chief Financial Officer and Chief Marketing Officer intend to step down early next year.

Markets reacted sharply to the disclosures, sending Klarna shares down $4.45 to close at $15.06. Pomerantz LLP, a firm specializing in securities class action litigation, is now reviewing the company’s conduct regarding potential breaches of fiduciary duty and unlawful business practices. The investigation focuses on whether the company misled shareholders following its September 2025 initial public offering, where it sold 34.3 million shares at $40.00 each.
