Innventure Faces Class Action Over Alleged Fabricated AI Data Center Deal

The litigation centers on a deal announced in November 2025, when Innventure claimed its subsidiary, Accelsius, would deploy its "NeuCool" liquid cooling technology for a 300MW data center campus developed by DarkNX. The complaint asserts that this project was a fabrication, lacking both legitimate funding and physical existence. Investors allege that Innventure management knowingly disseminated false revenue and cash flow projections to entice capital.

The facade began to crumble on May 28, 2026, when a report from Morpheus Research described the DarkNX venture as "pure fiction," citing former employees who claimed they had never heard of the partner company. Following this revelation, Innventure shares dropped 8.42%. The situation deteriorated further on August 13, 2026, when the company admitted the deployment site was unavailable and removed the DarkNX project from its internal records. This disclosure triggered a 55% collapse in the company’s stock price, closing at $1.62 per share the following day.
