Oaktree Capital to Divest 9 Million TORM Shares in Secondary Offering

OCM Njord Holdings, an affiliate of Oaktree Capital Management, has launched a secondary public offering of 9 million Class A common shares in tanker operator TORM plc. The move involves roughly 20% of the company's currently held stake, with an additional option for underwriters to acquire 1.35 million more shares.

The offering, announced by the Hellerup-based shipping firm on September 14, 2026, will not result in any capital inflow for TORM plc itself. As a secondary sale, the company is not issuing new equity, and all proceeds from the transaction will go directly to the selling shareholder, OCM Njord Holdings S.à r.l.

J.P. Morgan Securities LLC has been appointed as the sole underwriter for the deal. While the shares are being offered to the public, the final completion remains subject to prevailing market conditions. The underwriter has been granted a 30-day window to exercise an option for the additional 1.35 million shares, potentially increasing the total divestment size depending on investor demand.
