FirstEnergy Pennsylvania Launches Exchange Offer for $850 Million in Notes

FirstEnergy Pennsylvania Electric Company has opened an exchange offer for $850 million in aggregate senior notes, moving to register its 2028 and 2031 debt securities under the Securities Act of 1933. The move fulfills existing registration rights agreements rather than initiating new financing for the utility provider.

The offer covers $300 million in 4.150% senior notes due in 2028 and $550 million in 4.550% senior notes maturing in 2031. Holders of the outstanding unregistered notes have until 5:00 p.m. New York City time on October 16, 2026, to tender their holdings for new, registered securities, unless the company opts to extend the deadline. U.S. Bank Trust Company is serving as the exchange agent for the transaction.

This process follows the effectiveness of the company’s Registration Statement on Form S-4, which was cleared by the Securities and Exchange Commission on September 15, 2026. Detailed terms of the exchange are outlined in the prospectus dated September 17, 2026. The company, which operates under the regional brands Penn Power, Penelec, Met-Ed, and West Penn Power, clarified that this announcement is for informational purposes only and does not constitute a solicitation to buy or sell securities.
