CleanSpark shares climbed 4.73% to close at $13.40 following the company's announcement of a proposed $2.227 billion senior secured notes offering. The capital is earmarked for the construction of the firm’s Sandersville data center in Georgia, a project central to its shift toward high-performance computing infrastructure.

The financing, structured through the subsidiary CSDC Finance I LLC, involves notes maturing in 2031. Unlike convertible bonds, these notes do not offer the right to exchange debt for company stock, shielding current shareholders from immediate dilution. The Sandersville assets, including the property and the facility itself, will serve as collateral, with a first-priority lien securing the debt. Should the initial proceeds fall short, the Nasdaq-listed parent firm has committed to a completion guarantee to ensure the site's development.

This capital infusion supports a broader strategic pivot for CleanSpark. In July, the company secured a 20-year lease agreement for 175 megawatts of compute capacity at the Sandersville campus, projecting up to $11.6 billion in potential revenue if all extension options are exercised. While the company continues to operate as a major Bitcoin miner—holding 13,703 BTC as of the end of August—the Sandersville site represents its transition toward hosting data-intensive workloads. Investors are now awaiting final offering documents to clarify interest rates and project covenants for this multi-billion dollar expansion.
