Evernorth Secures $30M Debt Deal Pending Nasdaq Merger

Evernorth Holdings has entered a $30 million convertible note agreement, a strategic move contingent on the successful completion of its business combination with Armada Acquisition Corp. II. The funding, supported by NH Investment & Securities, is earmarked for corporate growth and potential expansion of the firm’s substantial XRP treasury.

The financing consists of 4% convertible senior PIK notes maturing in 2031, with the issuance scheduled to occur simultaneously with the merger. According to an SEC filing from September 17, NH Investment & Securities acts as trustee for the Kyobo AIM Corporate Finance General Private Investment Trust No. 3, which serves as the purchaser. While the capital provides flexibility for general operations, it specifically targets the acquisition of XRP and broader ecosystem activity. The company currently maintains a significant treasury, projecting a holding of at least 473 million tokens upon the close of the merger.

Shareholders of Armada Acquisition Corp. II are set to vote on the business combination on September 30, a critical milestone for the deal. The agreement includes protective clauses regarding the firm's digital assets, stipulating that major security breaches or unauthorized transfers exceeding $30 million could trigger default events. If approved, the combined entity aims to list on the Nasdaq under the ticker XRPN, utilizing the new capital to bolster its position as an XRP-focused treasury vehicle.
