Verlaine’s exit from the board and the audit committee follows an internal review of the company’s governance framework, specifically regarding related party transactions and potential conflicts of interest. As the head of Luxembourg-based Engelwood Group—which manages various vehicles that maintain business ties with SWI—Verlaine’s resignation serves to clarify the separation between his firm’s commercial interests and the company’s oversight structure.

SWI Capital Holding Realigns Board Amid Governance Shift
Jean-Pierre Verlaine is stepping down from the board of directors at SWI Capital Holding Ltd., a move aimed at decoupling his investment management firm, Engelwood Group, from the company’s governance. The departure coincides with the appointment of Ido Shavit as an independent non-executive director effective September 30, 2026.

Filling the vacancy on the audit committee is Fernando Bolivar, who joins existing members Joseph Benhamou, serving as chair, and Fang Ai Lian. Meanwhile, the newly appointed Ido Shavit brings executive experience from his tenure as CEO of Cycling Academy Ltd., a position he has held since 2020. Shavit will serve until the next annual general meeting, where shareholders will vote on his formal re-election. SWI Chairman Arnaud de Puyfontaine noted that the board changes are intended to strengthen the company’s governance as it continues to execute its digital infrastructure investment strategy.
