Stablecoin infrastructure firm OpenPayd targets Nasdaq debut by 2026

Stablecoin payments firm OpenPayd is pushing to finalize its merger with Titan Acquisition Corp. by the end of 2026, setting the stage for a Nasdaq listing under the ticker OP. The deal, which aims to provide capital for U.S. expansion, precedes a planned service launch in the American market by April 2027.

The proposed business combination, structured as a SPAC merger rather than a traditional IPO, could value OpenPayd at up to $1.145 billion. CEO Iana Dimitrova expects the transaction to close by year-end, provided the firm secures at least $130 million in aggregate proceeds and clears necessary regulatory hurdles, including SEC registration and Titan shareholder approval.

OpenPayd, which counts Kraken and OKX among its clients, reported fiscal 2026 revenue of $73 million with $13 million in EBITDA. The company is leveraging its infrastructure to bridge traditional currencies with stablecoins, a segment that now drives a significant portion of its growth. Following the acquisition of MSB USA Inc., the firm holds 43 state money transmitter licenses, a foundational step for its upcoming U.S. operations. While management forecasts $93 million in revenue for fiscal 2027, these projections remain subject to market conditions and the successful integration of newly acquired capabilities.
