Payoneer Reports Q2 Growth Amid Nuvei Acquisition Path

Payoneer Global Inc. reported a 10% year-over-year increase in revenue excluding interest for the second quarter of 2026, bolstered by a 48% surge in B2B volume. The results arrive as the company prepares to transition into a private entity following its agreed-upon $2.75 billion acquisition by Nuvei.

The New York-based fintech company saw total volume reach $23.7 billion during the quarter, a 15% increase compared to the same period last year. This expansion was driven largely by B2B growth and checkout volumes, which climbed 52%. While revenue grew, the company posted a net loss of $2.4 million for the period, reflecting costs associated with the pending merger. Adjusted EBITDA reached $71.4 million, marking a 7% increase over the previous year.

CEO John Caplan noted that the performance underscores the company's long-term infrastructure investments and network strength. In light of the pending take-private transaction, Payoneer has suspended its earnings conference calls and withdrawn its financial guidance for the remainder of 2026. The acquisition, valued at $7.40 per share, is expected to close in mid-2027, subject to shareholder and regulatory approvals. The company has already received early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.
