Curaleaf Pressures Aurora Shareholders to Accept Takeover Bid

Curaleaf Holdings is pushing Aurora Cannabis shareholders to accept a takeover bid that offers a 45% premium over recent trading prices. Chairman Boris Jordan argues the deal provides a necessary exit from a shrinking business, urging investors to tender their shares before the December 1 deadline to secure the acquisition.

The proposed deal, which values each Aurora share at US$4.00, combines 0.3463 Curaleaf shares with US$0.75 in cash. Curaleaf leadership characterizes the offer as a strategic pivot for Aurora investors, contrasting their own 50% stock growth during the first half of 2026 against a 34% decline in Aurora’s share price over the same period. Jordan contends that Aurora’s current standalone strategy relies on dilutive equity raises that have historically undervalued the company.

To build momentum for the acquisition, Curaleaf has scheduled a live shareholder call and Q&A session for September 17 at 10:30 a.m. ET. While Aurora’s management has resisted the overture, Curaleaf is bypassing the board to appeal directly to the investor base. The company claims the combined entity would command a presence in 17 countries with US$1.5 billion in annual revenue and approximately US$350 million in adjusted EBITDA, positioning it as a dominant force in the global cannabis market.
